Terms of Service

Welcome to SousLab. These Terms of Service (“Terms”) govern your access to and use of the SousLab website, API, datasets, documentation, dashboard, and related services, including any free, paid, bulk data, AI license, or enterprise offerings (collectively, the “Service”).

By creating an account, accessing the Service, generating an API key, purchasing a plan, or using SousLab data, you agree to these Terms. If you do not agree, do not use the Service.

1.Who we are

SousLab provides access to restaurant menu, restaurant location, pricing, chain, and related commercial data through APIs, bulk data snapshots, and custom data partnerships.

2.Eligibility

You may use the Service only if you are legally able to enter into a binding agreement. If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

3.Accounts and API keys

To access certain features, you may need to create an account and generate API keys. You are responsible for:

  • Keeping your account credentials and API keys secure.
  • All activity that occurs under your account or API keys.
  • Promptly notifying us if you believe your account or API key has been compromised.

You may not share, publish, resell, or expose your API keys. Any requests made using your API key will be considered your responsibility.

4.Plans, quotas, and billing

SousLab may offer free, paid, annual, enterprise, bulk, or custom plans.

Unless otherwise stated:

  • Plans are billed in advance.
  • API request limits are based on the plan you select.
  • SousLab uses hard quota cutoffs and does not charge surprise overage fees in standard self-serve plans.
  • If you reach your monthly quota, requests may return a structured quota or rate-limit error until the quota resets or you upgrade.
  • Paid subscriptions may be managed through the Stripe Customer Portal.
  • Cancellations take effect at the end of the current billing period unless otherwise stated.
  • Fees are not prorated or refunded unless required by law or expressly stated in a separate written agreement.

Enterprise, embedded, bulk data, AI training, or custom licenses may be governed by separate written agreements. If those agreements conflict with these Terms, the separate written agreement controls for that specific customer relationship.

5.Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation, contractual obligation, or third-party right.
  • Abuse, overload, disrupt, reverse engineer, or interfere with the Service.
  • Circumvent quotas, rate limits, authentication, billing, or technical restrictions.
  • Share, leak, publish, or resell your API key.
  • Misrepresent SousLab data as your own original first-party data.
  • Use the Service to build or operate a directly competing restaurant menu data API, dataset, or data resale product without written permission.
  • Resell, redistribute, sublicense, or provide raw SousLab data to third parties except as allowed by your plan or written agreement.
  • Use automated access methods other than the documented API or approved bulk delivery methods.
  • Use the Service to create unlawful, discriminatory, deceptive, or harmful products or services.
  • Use SousLab data in a way that violates consumer protection, privacy, intellectual property, advertising, competition, or data protection laws.

We may suspend or terminate access if we believe your use violates these Terms, threatens the Service, creates legal risk, or harms SousLab, customers, data partners, or third parties.

6.Data license

Subject to your compliance with these Terms and payment of applicable fees, SousLab grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and data according to your selected plan.

Unless your plan or written agreement says otherwise, you may use SousLab data for internal business, product development, analytics, research, prototyping, and application functionality.

You may not:

  • Sell, sublicense, publish, or redistribute raw or substantially complete SousLab datasets.
  • Provide third parties with direct or indirect access to SousLab data as a standalone data product.
  • Use SousLab data to train, fine-tune, or evaluate AI models unless your plan or written agreement allows AI training use.
  • Remove required attribution where attribution is required by your plan.
  • Use data beyond the scope of your plan, subscription, or written agreement.

7.Attribution

Certain plans may require attribution, such as “Powered by SousLab.” If your plan requires attribution, you agree to display attribution in a reasonably visible location where SousLab-powered data appears.

Attribution requirements may be waived or modified in paid, enterprise, or written agreements.

8.Data accuracy and availability

SousLab provides restaurant menu and related data from multiple sources and processing pipelines. While we aim to provide useful, current, and well-structured data, restaurant menus, prices, hours, availability, locations, and business details can change frequently.

You acknowledge that:

  • Data may be incomplete, delayed, inaccurate, outdated, duplicated, or unavailable.
  • SousLab does not guarantee that any menu item, price, location, operating status, promotion, or restaurant detail is correct at the time of use.
  • You are responsible for verifying data before relying on it for business-critical, financial, operational, legal, investment, advertising, consumer-facing, or safety-sensitive decisions.

The Service is provided for informational and commercial data purposes only.

9.Service availability and support

SousLab may offer different service levels depending on your plan.

Unless your plan or written agreement provides a specific service-level agreement, the Service is provided on a commercially reasonable, best-effort basis.

We may modify, suspend, limit, or discontinue parts of the Service at any time, including API endpoints, datasets, plan features, rate limits, documentation, or pricing. Where practical, we will attempt to provide notice of material changes.

10.Beta features

Some features may be labeled beta, private beta, preview, experimental, or early access. Beta features may be incomplete, unstable, inaccurate, changed, or discontinued at any time.

You use beta features at your own risk.

11.Intellectual property

SousLab and its licensors own all rights, title, and interest in the Service, including software, APIs, documentation, data structures, schemas, branding, designs, compiled datasets, database rights, processes, and related intellectual property.

These Terms do not grant you ownership of SousLab intellectual property.

You retain ownership of your applications, products, code, and content, subject to SousLab’s rights in the Service and data.

12.Feedback

If you provide feedback, ideas, suggestions, bug reports, or improvement requests, you grant SousLab a non-exclusive, worldwide, royalty-free, irrevocable license to use that feedback without restriction or compensation.

13.Third-party services

The Service may depend on third-party providers for hosting, authentication, payments, email, monitoring, analytics, logging, or infrastructure.

SousLab is not responsible for third-party services, outages, policies, or acts beyond our reasonable control.

14.Confidentiality

If you receive non-public information from SousLab, including technical, pricing, source, roadmap, security, or business information, you agree to keep it confidential and use it only for your authorized relationship with SousLab.

Enterprise or custom agreements may include additional confidentiality obligations.

15.Suspension and termination

We may suspend or terminate your access if:

  • You violate these Terms.
  • Your payment fails or your account becomes delinquent.
  • Your use creates security, legal, infrastructure, or operational risk.
  • We are required to do so by law or third-party obligation.
  • Your account is inactive for an extended period.

You may stop using the Service at any time. Cancellation of a paid plan does not automatically delete your account unless requested and legally permitted.

After termination, your right to access the Service ends immediately. Sections that should reasonably survive termination will survive, including payment obligations, license restrictions, confidentiality, disclaimers, limitation of liability, and dispute terms.

16.Disclaimers

The Service and data are provided “as is” and “as available.”

To the maximum extent permitted by law, SousLab disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

SousLab does not guarantee that:

  • The Service will be error-free, uninterrupted, secure, or available at all times.
  • Data will be complete, accurate, current, or suitable for your specific use case.
  • Any restaurant, menu item, price, or business detail will match real-world conditions.
  • The Service will meet your legal, regulatory, financial, investment, AI training, research, or operational requirements.

17.Limitation of liability

To the maximum extent permitted by law, SousLab will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or cost of substitute services.

SousLab’s total liability for any claim related to the Service will not exceed the lesser of:

  1. The amount you paid to SousLab in the twelve months before the event giving rise to the claim; or
  2. USD $1,000.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18.Indemnification

You agree to defend, indemnify, and hold harmless SousLab, its owners, employees, contractors, affiliates, vendors, and partners from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

  • Your use of the Service or SousLab data.
  • Your products, customers, integrations, or downstream uses of SousLab data.
  • Your violation of these Terms.
  • Your violation of applicable laws or third-party rights.
  • Your unauthorized sharing, resale, or redistribution of data or API access.

19.Changes to these Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the website, dashboard, email, or other reasonable means.

Your continued use of the Service after changes become effective means you accept the updated Terms.

20.Governing law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Any disputes will be handled in the courts located in the State of Wyoming, unless a separate written agreement states otherwise.
